Terms of Service

1. Introduction
Welcome to YachtBooks. These Terms of Service ("Terms") govern your access to and use of the YachtBooks platform, including our website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
2. Who Can Use YachtBooks
You may use YachtBooks only if you can form a binding contract with YachtBooks and are not a person barred from receiving services under the laws of your applicable jurisdiction. To use the Service, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Have the authority to enter into this agreement on behalf of your organization, if applicable
- Not have been previously suspended or removed from the Service
- Not be located in a country that is subject to a government embargo or designated as a "terrorist supporting" country
3. How You Can't Use YachtBooks
We want YachtBooks to be safe and used appropriately. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Share your account credentials with others or allow others to access your account
- Upload, post, or transmit any content that infringes on intellectual property rights of others
- Attempt to reverse engineer, decompile, or disassemble any portion of the Service
- Use automated systems (bots, scrapers, etc.) to access the Service without our permission
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Transmit any viruses, worms, defects, Trojan horses, or other malicious code
- Harass, abuse, or harm another person or organization through your use of the Service
4. Permissions You Give to Us
By using YachtBooks, you grant us certain permissions that we need to provide our Service effectively:
License to Your Content
You retain ownership of all Content you upload to YachtBooks. However, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display your Content solely for the purpose of operating and providing the Service. This license ends when you delete your Content or close your account.
Permission to Process Data
You give us permission to process your data as described in our Privacy Policy, including personal data about you, your crew, vessels, and financial information necessary to provide the Service.
Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you, and we will own all rights to any improvements or features developed based on your feedback.
5. Additional Rights We Retain
In addition to the permissions you grant us, we retain certain rights:
- The Service and all related intellectual property, including software, designs, logos, trademarks, and documentation, are owned by YachtBooks and protected by applicable laws
- We may modify, suspend, or discontinue any part of the Service at any time, with or without notice
- We may set limits on certain features or restrict your access to parts of the Service without liability
- We may send you service-related communications (security alerts, updates, support messages) even if you have opted out of promotional emails
- We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content and reporting to law enforcement
6. Content Removal and Disabling or Terminating Your Account
We want YachtBooks to remain a trusted platform. Here's what you should know about content removal and account actions:
Content Removal
We may remove or restrict access to any Content that we reasonably believe violates these Terms, applicable laws, or could harm YachtBooks, our users, or third parties. We will try to notify you when we take such action, unless doing so could create liability for us or harm others.
Account Suspension
We may temporarily suspend your account if we believe there has been a security breach, violation of these Terms, or if required by law. During suspension, you will not be able to access the Service, but we will work to resolve the issue as quickly as possible.
Account Termination
We may permanently terminate your account for serious or repeated violations of these Terms. You may also close your account at any time through your account settings. Upon termination, your right to use the Service immediately ceases.
Data Export and Retention
Before closing your account, you may export your data through the Service. After account closure, we will retain your data for 30 days to allow for recovery if you change your mind. After this period, your data will be permanently deleted, except as required by law.
7. Subscription and Payment
YachtBooks offers various subscription plans. By subscribing to the Service:
- You agree to pay all applicable fees for your chosen subscription plan based on the pricing at the time of purchase
- Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date
- Fees are non-refundable except as required by law or as specified in our refund policy. We may offer prorated refunds at our discretion
- We reserve the right to modify pricing with at least 30 days advance notice. Price changes will take effect at your next billing cycle
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YACHTBOOKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Our Agreement and What Happens if We Disagree
We hope we never have a disagreement, but if we do, here's how we'll handle it:
Governing Law
These Terms and any dispute arising from them shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. If you are a consumer in the European Union, you may also benefit from any mandatory provisions of the law of the country in which you reside.
Dispute Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@yachtbooks.io. We'll try to resolve it within 30 days. If we can't resolve it informally, you agree that any dispute will be resolved through binding arbitration, except for small claims court matters or if you opt out within 30 days of first using the Service.
Class Action Waiver
You agree to resolve any disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration. This waiver does not apply where prohibited by law.
10. Updating These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make changes:
- We will post the updated Terms on this page and update the "Effective Date" at the top
- For material changes, we will provide additional notice (such as email notification or in-app notice) at least 30 days before the changes take effect
- Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you don't agree with the changes, you should stop using the Service
